Terms of Service

Last updated: 6 October 2026

1. Agreement

By creating a FoodShop account or using FoodShop in any way, you agree to these Terms. If you do not agree to them, do not use FoodShop.

FoodShop is operated by Y.S.I.A. Software Solutions LTD., a company registered in Israel. In these Terms, "FoodShop", "we", "our" and "us" mean that company. "You" means the person or business using FoodShop.

You must be at least 18 to hold an account.

2. FoodShop is not the seller

This is the most important thing in this document, so it comes first.

You sell the food. We sell software.

When a customer buys from your FoodShop shop, the sale is between that customer and you. You are the seller and the only seller. FoodShop is not a party to it, not a marketplace, not an agent, not a reseller, and not a distributor. We do not make, handle, store, inspect, package, transport or sell any food.

That means, in particular:

  • You decide what you sell, what goes in it, how it is made and what you charge
  • You are responsible for the safety of everything you sell
  • You are responsible for the accuracy of what you tell your customers, including every allergen and every ingredient
  • You fulfil the order, and you handle every cancellation, refund, complaint, replacement and dispute with your customer
  • You hold the licences, permits and registrations your business needs
  • FoodShop provides the software you use to do those things, and nothing more

If a customer is harmed by something you sold, that is between you and that customer. We have no part in it. See section 20 on indemnification and section 19 on liability.

3. What FoodShop does

FoodShop is software for small food businesses. It provides tools to:

  • Work out what a recipe costs you to make, and suggest a price
  • Keep a pantry of ingredients and their prices
  • Record the allergens you declare for a recipe or a product option
  • Look up nutrition figures from the public USDA FoodData Central database
  • Generate food labels for you to print, including the cottage food disclaimer text for your state
  • Run an online shop, drops, pop-ups and an order calendar
  • Take and manage orders, and arrange pickup or delivery
  • Draft product descriptions and social posts for you to review

FoodShop does not inspect, approve, certify or verify anything. Every output is a draft or a calculation based on what you entered, for you to check.

4. Your account

  • Give us accurate registration information and keep it up to date
  • Keep your password and your account secure
  • Do not share your credentials with anyone
  • Tell us immediately if you think someone else has got into your account
  • You are responsible for everything done through your account

5. Acceptable use

Do not use FoodShop to break the law, infringe anyone's rights, send malware, attack or probe our systems, defraud anyone, or interfere with anyone else's use of it.

6. Your promises to us

By using FoodShop, you confirm, each time you use it, that:

  1. You hold every licence, permit, registration and certification your food business needs where you operate, and you will keep them current
  2. You comply with the food safety, cottage food, labelling, weights and measures, and tax laws that apply to you
  3. Every ingredient, allergen, quantity and description you enter into FoodShop is accurate and complete to the best of your knowledge
  4. The allergen information on your products is yours. You have determined it yourself, from the actual ingredients you use and your own knowledge of how and where you make your food
  5. You have told your customers everything the law requires you to tell them
  6. You are selling in your own name, as your own business, and not on anyone else's behalf
  7. Everything you publish on your shop is yours to publish and is not misleading

If any of these stops being true, stop selling through FoodShop until it is true again.

7. Allergens

Read this section. It is the one most likely to matter.

How allergens work in FoodShop

You choose the allergens. When you create a recipe, FoodShop asks you which allergens are in it, with nothing pre-selected. Whatever you pick is what FoodShop records, prints on your labels and shows on your shop. You can change it whenever you like, and you can set a different list for each product option.

FoodShop does not decide your allergens. It does not look at your recipe and reach a conclusion about it. It does not check your list, approve it or have any opinion about whether it is right. It prints what you declared and shows what you declared.

There is one place FoodShop reads allergen text: a label you photograph. If you photograph a packaged ingredient's label to add that ingredient to your pantry, FoodShop transcribes the allergen sentences printed on that packet, word for word, and shows them to you. It copies what the manufacturer wrote. It does not work anything out from the ingredients list, and if the packet carries no allergen statement, FoodShop tells you that rather than inventing one.

Transcription can still go wrong: a photograph can be blurred, a line can be cut off, a packet can be out of date. Check what you see against the physical label every time. Nothing from a scan is ever written to your recipe or your product. Only you do that.

This is deliberate. You know what you put in your food, where you make it, what else is made on the same equipment and what your suppliers told you. We do not and cannot.

What that means for you

You are solely responsible for the allergen information on everything you sell. To get it right, you must:

  • Read the actual label of every ingredient you use, every time, because manufacturers change formulations without notice
  • Ask your suppliers about allergens and about cross-contact in their facilities
  • Account for your own kitchen: shared equipment, shared surfaces, shared oil, airborne flour, and anything else made in the same space
  • Consider processing aids, carrier ingredients and trace amounts, which an ingredient list may not obviously reveal
  • Label every product completely and accurately, as the law where you sell requires
  • Keep your own records, and keep them current

Getting this wrong can make somebody seriously ill or kill them. Do not treat FoodShop's allergen fields as a safety check. They are a place to write down what you have already determined.

Cross-contact

FoodShop has a separate field where you can record what else runs through your kitchen, often printed as a "may contain" warning. Like the allergen list, what goes in it is entirely your judgement. FoodShop does not know what is in your kitchen.

For customers buying from a FoodShop shop

If you have a food allergy or intolerance:

  • The allergen information on a shop is what that seller told us. We did not verify it and we are not able to.
  • Contact the seller directly before you buy, and ask about both ingredients and cross-contact.
  • A product may be made in a kitchen that also handles things you must avoid, whether or not that is mentioned.
  • Read the label when your order arrives.
  • If you cannot satisfy yourself that something is safe for you, do not eat it.

Liability for allergens

FoodShop and Y.S.I.A. Software Solutions LTD. are not liable for allergic reactions, illness, injury or death, nor for any loss arising from allergen information that was incomplete, wrong or missing, nor for a seller's failure to determine, record, label or disclose allergens, nor for cross-contact in any kitchen or supply chain, nor for anyone's reliance on allergen information shown through FoodShop.

8. Nutrition information

FoodShop can look up ingredient nutrition figures from the public USDA FoodData Central database.

That data comes from the USDA. Nobody has tested your product. USDA figures describe generic or branded items in that database, which may differ from what you actually used, and the database may be out of date or wrong. Recipe nutrition figures FoodShop shows are arithmetic on those values, not a measurement of your food.

If you make a nutrition claim or put a nutrition panel on a label, you are responsible for obtaining accurate figures, by laboratory testing or another properly verified source, and for complying with the labelling rules that apply to you.

9. Labels

FoodShop generates labels from what you entered, plus cottage food disclaimer text based on our reading of the law in your state at the time we implemented it.

  • A FoodShop label is not a compliance guarantee. We do not certify that any label meets federal, state or local law.
  • Cottage food law changes. You are responsible for checking that the disclaimer text on your label reflects the law in your state today.
  • The allergen line is your declaration, exactly as you entered it. See section 7.
  • Printing a label is your decision to use it. We provide a printing tool, not approval. Review every label before you put it on food.

FoodShop and Y.S.I.A. Software Solutions LTD. are not liable for fines, penalties, recalls, claims, injury or death arising from a label produced through FoodShop.

10. Content the software generates, and our use of AI

FoodShop uses artificial intelligence for some features: reading an ingredient label you photograph, turning pasted recipe text into ingredients, suggesting product descriptions and social posts, and tidying text you have written.

AI is not always right. It misreads labels, invents details, and produces text that sounds confident and is wrong.

Everything the software generates is a draft for you to check. You are responsible for reading it, correcting it and deciding whether to use it. If you publish it, it is yours and you stand behind it, exactly as if you had written it.

In particular, never let generated text stand unchecked where it touches ingredients, allergens, nutrition or any claim about your food.

Our Privacy Policy sets out which AI providers we use and what is sent to them. No information about your customers is sent to any AI provider.

11. Money

Your subscription to FoodShop. Paid to Paddle.com Market Limited, who act as our Merchant of Record and handle billing and any applicable tax. Subscription fees are billed in advance, monthly or annually. We will give 30 days' notice of a price change. You can cancel at any time in your account settings, and cancellation takes effect at the end of the period you have paid for. We offer a 14-day money-back guarantee: email support@foodshop.biz within 14 days of purchase and we will refund in full, through Paddle.

Money your customers pay you for food. This is yours and it does not pass through us. Card payments go through your own Square account, which you connect yourself, and Square pays you directly. Cash, Venmo and Interac are arranged between you and your customer with no involvement from us.

FoodShop never holds, receives or has any claim on money from a food sale. We take no commission on it. We cannot refund it, reverse it or chase it, because we never had it. Refunds to your customers are yours to make, through Square or however you were paid.

12. Selling channels and fulfilment

FoodShop lets you sell through an online shop, timed drops, pop-up events, and an order calendar, and lets you offer pickup, your own delivery, or both.

Whichever you use:

  • You set the dates, locations, hours, limits, lead times, areas and fees
  • You fulfil every order, at the time and place you promised
  • You cancel, refund, replace and resolve, and you communicate with your customer about it
  • FoodShop records what you set up and shows it to your customers. It does not deliver anything, does not guarantee that any order will be fulfilled, and is not responsible if one is not

13. Calculations and pricing

Cost, yield, margin and price figures in FoodShop are arithmetic on the numbers you entered. They are estimates, they depend entirely on the accuracy of your input, and we do not guarantee any of them. Checking your costs and deciding your prices is your job, and whether your business is profitable is your responsibility.

14. Food safety and regulatory compliance

FoodShop is a business tool, not a food safety system and not a compliance service. It provides no food safety training, no monitoring, and no regulatory advice.

You are solely responsible for complying with everything that applies to your food business, including cottage food laws and permitted food lists, licences and permits, health department requirements, food handler certification, labelling law, sales tax, and safe food handling and temperature control.

15. No professional advice

Nothing in FoodShop or from us is legal, regulatory, accounting, tax, nutritional, dietary, food safety or business advice. Consult a qualified professional about your own situation.

16. Your content and your shop

You own what you create: your recipes, descriptions, photos and shop content. You grant us a worldwide, royalty-free licence to store, process and display it as needed to run the service for you, including showing your shop to the public.

What you publish must not be false or misleading about your products, infringe anyone's rights, be offensive or unlawful, make unauthorised health or medical claims, or leave out an allergen or ingredient disclosure the law requires.

We may remove content that breaks these Terms, and we may suspend a shop that does.

17. Our intellectual property

FoodShop itself, its design, code and content, belongs to Y.S.I.A. Software Solutions LTD. Do not copy, modify or redistribute it without our permission.

18. No warranties

FOODSHOP IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT IT IS FREE OF HARMFUL COMPONENTS.

WE SPECIFICALLY MAKE NO WARRANTY ABOUT: THE ALLERGEN INFORMATION SHOWN ON ANY PRODUCT OR LABEL; USDA NUTRITION DATA OR ANY CALCULATION FROM IT; COST, YIELD, MARGIN OR PRICE FIGURES; ANYTHING PRODUCED BY AI; THE LEGAL COMPLIANCE OF ANY LABEL; OR THE SUITABILITY OF FOODSHOP FOR ENSURING FOOD SAFETY OR REGULATORY COMPLIANCE.

NOTHING SAID OR WRITTEN BY US OR THROUGH THE SERVICE CREATES ANY WARRANTY NOT STATED HERE.

19. Limitation of liability

Claims about food are claims against the seller, not against us. FoodShop is software. If a customer is harmed by food, misled by a description, or let down by an order, their claim lies against the seller who made and sold it. We did not make it, sell it, inspect it or deliver it. Nothing in this section limits what the seller owes her own customers.

TO THE MAXIMUM EXTENT THE LAW ALLOWS, FOODSHOP AND Y.S.I.A. SOFTWARE SOLUTIONS LTD., AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS, ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

  • Your use of, or inability to use, the Service
  • Allergic reactions, illness, injury or death connected with food sold through a FoodShop shop
  • Any error, inaccuracy or omission in allergen information, nutrition data, calculations, prices or anything generated by AI
  • Any label produced through the Service, including its legal compliance
  • Food safety violations, regulatory breaches or penalties arising from your business
  • A product liability claim brought by your customer
  • Lost profit, lost revenue, lost savings, business interruption, or the cost of a substitute service
  • Loss or corruption of data
  • Damage to reputation or goodwill
  • A dispute between you and your customer or your supplier
  • Your reliance on anything the Service told you

THIS APPLIES WHATEVER THE LEGAL BASIS OF THE CLAIM, IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT WE WERE WARNED THAT SUCH LOSS WAS POSSIBLE.

CAP. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) WHAT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS.

SOME PLACES DO NOT ALLOW THESE EXCLUSIONS. WHERE THAT IS SO, OUR LIABILITY IS LIMITED TO THE MAXIMUM THE LAW THERE ALLOWS. NOTHING HERE LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, OR DEATH OR PERSONAL INJURY CAUSED BY OUR GROSS NEGLIGENCE, WHERE SUCH A LIMIT IS PROHIBITED.

20. Indemnification

You will indemnify, defend and hold harmless Y.S.I.A. Software Solutions LTD., FoodShop, and their officers, directors, employees, contractors, agents, licensors, suppliers and service providers, against every claim, liability, damage, loss, cost, expense and fee, including reasonable legal fees and court costs, arising from or related to:

  • Your use or misuse of the Service
  • Your breach of these Terms
  • Your breach of any law, regulation or third-party right
  • Your food business, and in particular:
    • Illness, allergic reaction, injury or death suffered by anyone who ate what you sold
    • How you prepared, handled, stored, packaged, labelled, transported or delivered food
    • Contamination or cross-contact, in your kitchen or anywhere in your supply chain
    • Allergen information you determined, recorded, printed or published, including anything you left out
    • A product liability claim brought by your customer
    • Food safety breaches, regulatory breaches, or missing licences and permits
    • Any label you produced through FoodShop that was inaccurate, incomplete or non-compliant
  • Content you published through the Service, including on your shop
  • Your reliance on anything the Service showed you, including allergen information, nutrition data, calculations, prices and anything generated by AI
  • A dispute between you and your customer or your supplier
  • An intellectual property claim about your content

This survives the end of your account and of these Terms. We may take over the defence of any such claim, and if we do, you will cooperate with us.

21. Ending the agreement

You may cancel at any time in your account settings. You keep access until the end of the period you have paid for. Export anything you want to keep before your account closes.

We may suspend or end your account if you breach these Terms, and we will end it immediately if it is used for anything illegal or fraudulent or that harms other people, which we may report to the authorities. We may discontinue the Service with 30 days' notice to active subscribers.

When it ends, your right to use the Service stops. Your data is deleted as described in our Privacy Policy, except where we must keep something by law. We are not obliged to hold your data for you afterwards, so take your copy first.

22. Governing law

These Terms are governed by the law of the State of Israel, without regard to conflict of laws rules. If you live in the EU or the UK, this does not take away protections you have under the mandatory law of your own country.

23. Disputes

Try to settle it with us first, in good faith, by emailing support@foodshop.biz. If that fails, disputes are to be resolved by binding arbitration under the rules of the Israeli Institute of Commercial Arbitration, except where the consumer protection law where you live says otherwise.

If you live in the EU you may also complain to your local consumer protection body.

24. Changes to these Terms

We may change these Terms. If a change is material we will tell you by email or in the app before it takes effect. Continuing to use FoodShop after that means you accept the new version.

25. Force majeure

We are not liable for delay or failure caused by something beyond our reasonable control, including natural disaster, war, government action, infrastructure or internet failure, or pandemic.

26. The rest

If any part of these Terms is unenforceable, the rest still stands. Our not enforcing something is not a waiver of it. These Terms, with our Privacy Policy, are the whole agreement between us about FoodShop. You may not transfer your rights under them without our consent; we may transfer ours to a successor to the business.
