FoodShop is operated by Y.S.I.A. Software Solutions LTD., a company registered in Israel.

2. Description of Service

FoodShop is a software-as-a-service platform designed to help small food businesses track recipe costs, manage orders, and operate storefronts. The Service provides tools for cost calculation, pricing suggestions, nutrition tracking, allergen detection, and business management.

The Service includes:

• Recipe cost calculation and pricing recommendations
• Community-sourced ingredient pricing suggestions
• Integration with USDA nutrition database (1.8 million+ ingredients)
• Automatic allergen detection based on ingredient data
• Custom ingredient creation with manual data entry
• Order management and public storefront features
• Food label generation and printing tools, including per-state cottage food compliance disclaimers

3. User Accounts

• You must be at least 18 years of age to use the Service
• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account
• You must notify us immediately of any unauthorized access
• You may not share your account credentials with others

4. Acceptable Use

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful code or malware
• Attempt to gain unauthorized access to our systems
• Use the Service for any fraudulent or illegal purpose
• Interfere with other users' access to the Service

FoodShop displays "What other bakers pay" price suggestions aggregated from community-reported data. These suggestions are:

• Not guaranteed accurate: Prices vary by location, supplier, quantity, quality, and timing
• Subject to change: Market prices fluctuate without notice
• User-reported: We do not verify the accuracy of pricing data submitted by users

Your Responsibility: You are solely responsible for verifying prices with your actual suppliers and making informed pricing decisions for your business. FoodShop is not liable for any business losses, pricing errors, or financial decisions made based on community price suggestions.

5.2 Allergen Information Disclaimer

CRITICAL WARNING: FoodShop provides allergen detection and display features, but these are informational tools only and NOT a substitute for proper allergen management or verification.

How Allergen Information Works

FoodShop automatically detects and displays allergen information (FDA Big 9: Milk, Eggs, Fish, Shellfish, Tree Nuts, Peanuts, Wheat, Soy, Sesame) based on recipe ingredients matched against the USDA database. This information may be displayed on seller dashboards, recipe pages, and public storefronts.

Limitations and Risks

• Auto-detection limitations: Allergen warnings are automatically generated from USDA database information and ingredient names, but may be incomplete or inaccurate
• Not comprehensive: Our system may not detect all allergens, especially for custom ingredients or when allergens are present due to manufacturing processes, shared equipment, or supplier facilities
• USDA data limitations: Third-party nutrition data may be outdated, incorrect, or incomplete
• Manual data errors: Custom ingredient allergen data entered by sellers may contain errors or omissions
• Cross-contamination not tracked: The Service does not account for cross-contamination in production facilities, shared equipment, or suppliers' facilities
• Product variations: Ingredient suppliers may change formulations without notice, introducing or removing allergens
• Hidden allergens: Processing aids, carrier ingredients, or trace amounts may not be detected

For Sellers (Business Owners)

Your Responsibility: You MUST verify all allergen information by:

• Reading actual ingredient labels and product specifications for every ingredient you use
• Contacting suppliers to confirm allergen information and cross-contamination risks
• Maintaining accurate allergen records for all products you sell
• Properly labeling products with complete and accurate allergen warnings as required by law
• Training staff on allergen safety and cross-contamination prevention
• Implementing proper cleaning and separation procedures in your production facility

You are solely responsible for allergen safety, proper labeling, and disclosures to your customers. Failure to properly manage allergens can result in serious injury or death. Do not rely solely on FoodShop's automated allergen detection.

For Customers (Purchasing from Storefronts)

If you have food allergies or dietary restrictions:

• Do not rely solely on allergen information displayed on storefronts — This information may be incomplete, outdated, or inaccurate
• Always contact the seller directly to verify allergen information before purchasing or consuming any product
• Ask about cross-contamination — Products may be made in facilities or on equipment that also processes allergens
• Read product labels when you receive items and verify ingredient lists
• When in doubt, don't eat it — If you cannot verify safety, do not consume the product

Limitation of Liability

FoodShop and Y.S.I.A. Software Solutions LTD. are NOT liable for:

• Allergic reactions, health issues, injuries, deaths, or any damages resulting from allergen exposure
• Errors, inaccuracies, or omissions in allergen information displayed by the Service
• Failure of sellers to properly manage, label, or disclose allergens
• Cross-contamination in production facilities or from suppliers
• Changes in ingredient formulations or undisclosed allergens
• Any reliance on allergen information provided through the Service

By using the Service (whether as a seller or customer viewing a storefront), you acknowledge that FoodShop provides allergen information as a convenience feature only, and that you accept full responsibility for verifying allergen safety through appropriate channels.

5.3 Nutrition Information Disclaimer

Nutrition data provided through our USDA database integration is for informational purposes only:

• Third-party data: Sourced from USDA FoodData Central and may be outdated or inaccurate
• Product variation: Actual products may differ from database values due to recipe changes, manufacturing variations, or regional differences
• Calculation estimates: Recipe nutrition calculations are estimates based on database values and may not reflect actual nutrition content
• Not verified: We do not independently verify nutrition information

Your Responsibility: If you make nutrition claims or provide nutrition labels, you must obtain accurate nutrition information through laboratory testing or verified sources. You are responsible for compliance with FDA nutrition labeling requirements.

5.4 Recipe Calculation Disclaimer

FoodShop provides automated calculations for recipe costs, yields, and pricing:

• Estimates only: All calculations are estimates and may contain errors
• User input dependent: Accuracy depends entirely on the accuracy of data you enter
• No guarantee: We do not guarantee the accuracy of any calculations

Your Responsibility: You must verify all recipe calculations, costs, and pricing decisions. You are solely responsible for ensuring your business pricing is profitable and sustainable.

5.5 Food Safety and Regulatory Compliance

FoodShop is a business management tool, NOT a food safety or compliance system.

• No food safety guidance: The Service does not provide food safety training, monitoring, or compliance features
• No regulatory advice: We do not provide legal or regulatory compliance advice
• Your obligations: You are solely responsible for complying with all applicable food safety laws, cottage food regulations, business licensing, health department requirements, and labeling laws

Your Responsibility: You must research and comply with all local, state, and federal regulations applicable to your food business, including but not limited to:

• Cottage food laws and permitted food lists
• Business licenses and permits
• Health department inspections and requirements
• Food handler certifications
• Labeling requirements (ingredients, allergens, nutrition facts)
• Sales tax collection and remittance
• Food safety practices and temperature controls

5.6 No Professional Advice

FoodShop does not provide professional advice of any kind. The Service and any information provided through it do not constitute:

• Legal advice or regulatory guidance
• Accounting or tax advice
• Nutritional or dietary advice
• Food safety or health consulting
• Business consulting or strategy advice

You should consult qualified professionals (attorneys, accountants, nutritionists, food safety consultants) for advice specific to your business situation.

5.7 Food Label Generation Disclaimer

FoodShop provides tools to help you generate food product labels ("Label Feature"). By using the Label Feature, you acknowledge and agree that:

Not a compliance guarantee: Labels generated by FoodShop are based on the information you have entered into the platform and FoodShop's research into applicable cottage food laws. FoodShop does not guarantee that any generated label is legally compliant with federal, state, or local food labeling laws.

State disclaimer accuracy: FoodShop includes state-specific cottage food disclaimer text based on research that was current at the time of implementation. Cottage food laws change frequently. You are solely responsible for verifying that the disclaimer text on your label reflects current law in your state before selling any product.

Ingredient and sub-ingredient accuracy: The ingredient list generated on your label is based on data you have entered into FoodShop and USDA Branded Foods database data. FoodShop does not guarantee the accuracy, completeness, or currency of USDA database ingredient or sub-ingredient data.

Allergen detection limitations: Allergen warnings on generated labels are based only on ingredients entered into FoodShop. Labels may not reflect allergens present in custom ingredients, ingredients added without USDA data, manufacturing cross-contamination, or supplier facility allergens. You must independently verify all allergen information before selling.

Your responsibility: You are solely responsible for reviewing every label before use, verifying compliance with all applicable federal, state, and local labeling laws, and ensuring labels are accurate and complete. FoodShop is a label creation tool, not a legal compliance service.

Limitation of liability: FoodShop and Y.S.I.A. Software Solutions LTD. are not liable for any fines, penalties, product recalls, customer claims, injuries, or deaths arising from the use of labels generated through the Label Feature.

6. User Content and Storefronts

Content Ownership

You retain ownership of content you create (recipes, product descriptions, images, etc.). By using the Service, you grant us a worldwide, royalty-free license to store, process, and display your content as necessary to provide the Service, including displaying your storefront to potential customers.

Storefront Content Standards

Content displayed on your public storefront must not:

• Contain false or misleading information about your products
• Infringe on any third party's intellectual property rights
• Include inappropriate, offensive, or illegal content
• Violate food safety disclosure requirements in your jurisdiction
• Make unauthorized health claims or medical statements
• Omit required allergen warnings or ingredient disclosures

Your Responsibility

You are solely responsible for:

• Ensuring your products, storefront content, and business operations comply with all applicable food safety regulations, licensing requirements, and local laws
• Providing accurate allergen information and warnings to customers
• Meeting all labeling and disclosure requirements
• Obtaining proper licenses and permits for your food business
• Maintaining food safety standards in your production facility
• Collecting and remitting applicable sales taxes

FoodShop is not responsible for: Your compliance with laws and regulations, the safety of products you sell, or any claims or damages arising from your business operations.

7. User Data Accuracy and Responsibility

Your Data Entry Obligations

You are solely responsible for the accuracy and completeness of all data you enter into the Service, including:

• Ingredient prices: You must verify and update prices based on your actual supplier costs
• Custom ingredients: You must accurately enter nutrition information and allergen data for custom ingredients
• Recipe information: You must verify recipe yields, quantities, and calculations
• Product descriptions: You must ensure storefront content is accurate and compliant with regulations

Verification Requirements

Before using any information from FoodShop in your business, you must:

• Verify all ingredient prices with your actual suppliers
• Read and verify allergen information on actual product labels
• Confirm nutrition data accuracy for products you label
• Calculate and verify recipe costs and pricing
• Ensure compliance with all applicable regulations
• Test recipes and verify yields before selling to customers

No Substitute for Professional Verification

FoodShop's automated features (allergen detection, nutrition calculations, pricing suggestions) are convenience tools only and do not replace professional verification. For mission-critical information such as allergen warnings or nutrition labels, you must obtain verified data through appropriate channels.

8. Payment, Subscription, and Refunds

Payment Processing

Payments are processed by Paddle.com Market Limited ("Paddle"), who acts as our Merchant of Record. Paddle handles all payment processing, billing, and applicable taxes on our behalf. By subscribing, you agree to Paddle's terms of service.

Subscription Terms

• Subscription fees are billed in advance on a monthly or annual basis
• Prices are subject to change with 30 days notice
• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period

Refund Policy

We offer a 14-day money-back guarantee. Contact us at support@foodshop.biz within 14 days of purchase to request a full refund. Refunds are processed through Paddle

9. Intellectual Property

The Service, including its design, features, and content (excluding user content), is owned by Y.S.I.A. Software Solutions LTD. and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION, INCLUDING PRICING DATA, NUTRITION INFORMATION, OR ALLERGEN WARNINGS
• WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS

SPECIFICALLY, WE MAKE NO WARRANTIES REGARDING:

• The accuracy of community price suggestions or USDA nutrition data
• The completeness or accuracy of allergen detection or warnings
• The accuracy of recipe calculations, cost estimates, or pricing recommendations
• The suitability of the Service for ensuring food safety or regulatory compliance
• Your ability to operate a profitable or compliant food business using the Service

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM FOODSHOP OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FOODSHOP AND Y.S.I.A. SOFTWARE SOLUTIONS LTD., AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO:

• Your use of or inability to use the Service
• Any errors, inaccuracies, or omissions in pricing data, nutrition information, allergen warnings, or any other information provided through the Service
• Allergic reactions, illnesses, injuries, or deaths resulting from allergen exposure or errors in allergen information
• Food safety violations, regulatory non-compliance, or legal penalties arising from your business operations
• Business losses, lost profits, loss of revenue, or loss of anticipated savings
• Loss or corruption of data or content
• Business interruption or downtime
• Cost of procurement of substitute services
• Damage to reputation or goodwill
• Product liability claims from your customers
• Third-party claims arising from your use of the Service
• Reliance on any information, pricing, calculations, or suggestions provided by the Service

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

MONETARY CAP: OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100 USD).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES OR LIABILITIES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THESE TERMS LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, DEATH, OR PERSONAL INJURY CAUSED BY GROSS NEGLIGENCE WHERE SUCH LIMITATIONS ARE PROHIBITED BY LAW.

12. Indemnification

You agree to indemnify, defend, and hold harmless Y.S.I.A. Software Solutions LTD., FoodShop, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms of Service
• Your violation of any laws, regulations, or third-party rights
• Your food business operations, including but not limited to:
  • Product liability claims from your customers
  • Allergic reactions or health issues related to your products
  • Food safety violations or contamination incidents
  • Failure to properly label allergens or ingredients
  • Regulatory violations or non-compliance
  • Failure to obtain required licenses or permits
  • Labels generated through FoodShop that are inaccurate, incomplete, or non-compliant with applicable labeling laws
• Content you post or display through the Service, including storefront content
• Your reliance on pricing suggestions, nutrition data, allergen warnings, or any other information provided through the Service
• Any errors in calculations, pricing, or business decisions based on the Service
• Intellectual property infringement claims related to your content
• Disputes with your customers or suppliers

This indemnification obligation will survive termination of your account and these Terms. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

13. Termination

Termination by You

You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access until the end of your current billing period. You may export your data before your account is closed.

Termination by Us

We may terminate or suspend your account:

• For violation of Terms: We may suspend or terminate your account at any time if you violate these Terms
• For illegal activity: We will immediately terminate accounts used for illegal purposes, fraudulent activity, or any activity that harms other users. We reserve the right to report such activity to law enforcement and pursue legal action
• Service discontinuation: We reserve the right to discontinue the Service at any time with 30 days notice to active subscribers

Effect of Termination

Upon termination, your right to use the Service ceases immediately. Your data will be deleted within 30 days of account closure, except where retention is required by law. We are not obligated to maintain or provide your data after termination, so please export your data before closing your account.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. For EU residents, this choice of law does not deprive you of the protection afforded by mandatory provisions of your country of residence.

15. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the Israeli Institute of Commercial Arbitration, except where prohibited by local consumer protection laws.

EU residents may also file complaints with their local consumer protection agency or use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

17. Cookies and Tracking

We use cookies and similar technologies to maintain your session, remember your preferences, analyze usage, and prevent fraud. We use PostHog for session analytics. You can control cookies through your browser settings, but disabling them may affect site functionality.

18. Force Majeure

We are not liable for any delay or failure to perform due to causes beyond our reasonable control, including natural disasters, war, government actions, internet or infrastructure failures, or pandemic.
